    CONSTITUTION AND BYLAWS
    OF THE
    SALTWATER ANGLERS LEAGUE OF TEXAS - TRINITY BAY, INC.

    ARTICLE I - NAME
    SECTION 1:   The name of this organization shall be the Saltwater Anglers League of Texas - Trinity Bay, Inc., also referred to as S.A.L.T. - Trinity Bay, Inc. (or SALT - Trinity Bay, Inc.).
    SECTION 2: The principal office of this organization shall be located in Baytown, Texas.

    ARTICLE II - PURPOSES
    SECTION 1: Making the membership more skilled in saltwater angling and boating safety through collaboration and education.
    SECTION 2: Making saltwater angling more fun through fellowship.
    SECTION 3: Making saltwater angling a more productive sport through conservation of fish and wildlife.
    SECTION 4: Working for conservation of fish and wildlife by participation in conservation activities.

    ARTICLE III - MEMBERSHIP
    SECTION 1:   Open to any person with an interest in saltwater angling and the purposes of this organization.
    SECTION 2:   Any application must be in writing and must be accompanied by dues paid in advance for the first year (See Article IV, Section 1A).
    SECTION 3:  
    Classes of Membership: The membership of this organization shall be divided into 5 classes, namely: Active, Honorary Life, Honorary, and Senior SALT, and Active Sponsor.
    A:   Active Membership:
    1:   Any person with an interest in saltwater angling and conservation of fish and wildlife is eligible for membership in S.A.L.T. - Trinity Bay, Inc., providing he or she is 18 years of age. Family members under this age are encouraged to participate, but have no voting power.
    B:   Honorary Life Membership:
    1:   Individual members who have performed truly outstanding service for the organization may be given life membership by a vote of two-thirds (2/3) of the accredited members present at any General Membership meeting.
    2:   Honorary Life Members may vote and hold office.
    C:   Honorary Membership:
    1:   Honorary Memberships may be conferred, upon prior recommendation of the Board of Directors in regular session, on any person or persons.
    2:   Honorary Members shall not vote or hold office, unless otherwise qualified.
    3:   Honorary membership expires at the end of the fiscal year.
    D:   Senior SALT Membership:
    1:   Conferred upon individuals 65 years of age and older.
    2:   Senior SALT Members may vote and hold office.
    E:   Active Sponsor Membership:
    1:   Minimum $100.00 membership fee, of which $30.00 is applied to Active Membership and the remainder is credited to general club funds.
    2:   Active Sponsor Members are entitled to all Active Member benefits, may vote and hold office.
    3:   Active Sponsor Membership includes a business card size advertisement in the monthly newsletter.

    ARTICLE IV - DUES
    SECTION 1:  
    A:   The annual dues for members of this organization shall be thirty dollars ($30.00). Annual dues will be for one year, renewable one year from date of last payment. Such annual dues cover either individual or family membership, the latter including an individual, his or her spouse, and dependent children younger than 18 years of age.
    B:   Honorary Life Members shall be awarded the privileges of full membership without payment of dues.
    C:   Honorary Members are not required to pay dues.
    D:   Senior SALT Members are not required to pay annual dues, but may do so if they choose.
    SECTION 2: Any member whose dues are in arrears for a period of more than (60) days shall automatically cease to be a member. Written notice of dues in arrears shall be given members at least (30) days before the date of suspension.

    ARTICLE V - GOVERNMENT
    SECTION 1: The government of this organization shall be vested in a Board of Directors, consisting of elected members, the number of which will be based upon the number of members on record as of July 1st of each year, calculated at approximately 10% of that number, but no less than twelve (12) Directors.
    SECTION 2: The Directors of this organization shall be elected in the manner prescribed by the Constitution and Bylaws (see Article VI, and Article V, section 5, A.) and shall hold office for a period of three years, or until their successors are duly elected and qualified. One-third (1/3) of the number determined according to Section 1 of this Article shall be elected at the September General Membership Meeting each year.
    SECTION 3: S.A.L.T. - Trinity Bay, Inc. officers shall be elected from and by the Directors immediately following the general election of the Directors.
    SECTION 4: No member of this organization shall have more than one vote, by proxy or otherwise.
    SECTION 5:  
    A:   The Board of Directors shall have control and management of the organization, subject to the will of the membership.
    B:   Funds of the organization shall be withdrawn from the bank or banks with which they are in deposit by the joint signatures of the Treasurer and one other elected officer if the amount is $300.00 or more. Withdrawals of less than $300.00 require only one signature.
    SECTION 6:  
    A:   Vacancies on the Board of Directors or in any office shall be filled by vote of the Board of Directors, such appointees to serve for the duration of the term of the individual being replaced, or until the next regular election. An officer serving less than one term by appointment may be elected to the same office the following year.
    B:   A Board member absent from more than two consecutive regular Board meetings or five Board meetings in one year without prior notification to the Board shall be replaced by the Board.
    SECTION 7: The fiscal year of this organization shall be the calendar year.

    ARTICLE VI - ELECTIONS
    SECTION 1: Not less than forty-five (45) days prior to the September annual election, the President shall appoint, with the approval of the Board of Directors, a nominating committee of not less than five (5) voting members.
    SECTION 2: The nominating committee shall, prior to the September annual election, decide upon and recommend to the members, in writing, the names of candidates.
    SECTION 3: Nominations for any Directorship may be made by any voting member of the organization from the floor at the time of the report of the nominating committee at the September General Membership meeting.
    SECTION 4: At the annual September election there shall be elected a number of Directors as specified in Article V, Sections 1 and 2.
    SECTION 5: Voting shall be by individuals, and no person shall cast more than one vote.
    SECTION 6: Officers and Directors shall officially take office on January 1st.

    ARTICLE VII - MEETINGS
    SECTION 1: The organization shall hold regular membership meetings on such dates as may be set (usually the 1st Thursday of each month).
    SECTION 2: Meetings of the Board of Directors (usually the 2nd Thursday of the month) shall be held on pre-arranged dates or at the call of the President. At all meetings of the Board of Directors, a majority of duly elected Directors shall constitute a quorum.
    SECTION 3: Special meetings of the membership or of the Board of Directors shall be called by the President or Vice President, at the request of at least two (2) members.
    SECTION 4: Majority of members present at the general meetings shall rule. At all duly called general or special meetings, a quorum shall consist of those members present.

    ARTICLE VIII - DUTIES OF OFFICERS
    SECTION 1: The President, as chief executive officer of the organization, shall supervise the organization's affairs and activities and shall make an annual report at the December meeting to the members.
    SECTION 2: The Vice President shall preside at the membership and Board of Directors meetings in the absence of the President, and shall also work with the President on all affairs of the organization.
    SECTION 3: The Secretary shall keep a permanent record of the minutes of meetings. The Secretary shall be custodian of all official, non-financial records of the organization.
    SECTION 4: The Treasurer shall keep the financial books of the organization, disburse funds at the direction of the Board of Directors, report on the financial condition of the organization, and issue an annual financial report at the January meeting.
    SECTION 5: The immediate past President shall serve in an advisory capacity to the President and shall be a voting member of the Board.
    SECTION 6: The Parliamentarian shall serve the President and body and supervise the operation of the Bylaws.
    SECTION 7: The Publicity Officer's duty shall be to promote and sell the SALT club to the general public.

    ARTICLE IX - COMMITTEES
    SECTION 1: The Board of Directors shall determine the committees deemed proper and necessary to fulfill the purposes of the organization.
    SECTION 2: All Committee Chairmen shall be appointed by the Vice President, subject to the approval of the President.
    SECTION 3: The President and the Vice President shall be ex-officio members of all committees.

    ARTICLE X - RULES OF ORDER
    SECTION 1: Robert's Rules of Order, Revised, shall govern the proceedings of the organization and its constituent parts, except as provided by these Bylaws.

    ARTICLE XI - DELEGATIONS
    SECTION 1: Delegations of special committees shall be appointed by the President to represent the organization at any meeting or assembly as may be necessary. Such delegations or committees shall exercise only those powers specifically vested in them by the Directors.

    ARTICLE XII - AMENDMENTS
    SECTION 1: This Constitution and Bylaws may be amended by a two-thirds (2/3) vote of the members present at any General or Special Meeting, provided written notice of the proposed action has been given each member at his or her last known address, at least ten (10) days prior thereto.
